Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Rendex software platform and related services ("Service") provided by Rendex Systems LLC ("Rendex," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description

Rendex is an on-premises document search and retrieval platform that uses artificial intelligence to help licensed legal professionals search, retrieve, and summarize content from their own document repositories. The Service is deployed on your infrastructure and processes data locally on your hardware.

2. Not Legal Advice

Rendex is not a law firm and does not provide legal advice. The Service is a technology tool designed exclusively for use by licensed legal professionals and their authorized staff. Rendex does not replace, substitute for, or constitute the advice, judgment, or services of a qualified attorney. No attorney-client relationship is created between Rendex and any user of the Service.

The responsibility for all legal work product remains with the supervising attorney. Users must independently verify all output before relying on it in any legal matter.

3. AI-Generated Output

The Service uses artificial intelligence models to search, retrieve, and summarize documents from your data. While Rendex is designed to provide accurate citations and references, AI-generated output may contain inaccuracies, omissions, or misattributed references. You acknowledge and agree that:

  • AI-generated output may contain inaccuracies, omissions, incomplete information, or misattributed citations.
  • The Service does not guarantee the accuracy, completeness, reliability, or currentness of any output.
  • All output must be reviewed and verified by a qualified professional before use in any legal, business, or other consequential matter.
  • You assume full responsibility for any decisions made or actions taken based on the Service's output.

4. Professional Responsibility

You acknowledge that under applicable rules of professional conduct, including ABA Model Rules 1.1 (Competence), 1.6 (Confidentiality), and 5.3 (Supervision), attorneys have ethical obligations to understand, supervise, and verify the output of any technology tool used in their practice. The Service is designed to support these obligations, not replace the professional judgment required to fulfill them.

5. Marketing Materials and Projections

Time savings, cost recovery figures, ROI projections, and other performance metrics shown on our website or marketing materials are illustrative models based on representative scenarios. They are not guarantees of results. Your actual results will depend on firm size, practice areas, document volume, usage patterns, and other factors specific to your organization.

6. Eligibility and Permitted Use

The Service is intended for use by law firms, legal departments, and licensed legal professionals. You represent that you have the authority to bind the entity on whose behalf you are using the Service. You agree to use the Service only for lawful purposes consistent with these Terms.

7. Your Data

The Service is deployed on your infrastructure. All documents, search queries, AI-generated output, and usage data remain on your systems at all times. Rendex does not collect, access, transmit, or store any of your firm's data. You retain all rights, title, and interest in your data.

Your firm is solely responsible for the security, backup, and management of all data processed by the Service on your infrastructure.

8. Subscription and Payment

Access to the Service requires a paid subscription as described on our pricing page or in a separate order form. Fees are billed monthly in advance. All fees are non-refundable except as expressly provided in a written agreement. We reserve the right to change pricing with 30 days' written notice.

9. Pilot Program

We may offer a free pilot period. During the pilot, the Service is provided under these same Terms. Either party may terminate the pilot at any time for any reason. At the end of the pilot, continued use requires a paid subscription.

10. Intellectual Property

Rendex retains all rights, title, and interest in the Service, including all software, models, documentation, and related intellectual property. These Terms do not grant you any rights to Rendex's intellectual property except the limited license to use the Service during your subscription.

You retain all rights to your data. Rendex does not acquire any rights to your documents or data by virtue of your use of the Service. Your data is never used to train, improve, or modify Rendex's AI models.

11. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Rendex does not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. Rendex does not warrant that search results or AI-generated output will be accurate, complete, current, or suitable for any particular purpose.

12. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Rendex, its affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, goodwill, or anticipated savings, arising out of or related to your use of or inability to use the Service, regardless of the theory of liability and even if Rendex has been advised of the possibility of such damages.

Rendex's total aggregate liability arising out of or related to these Terms shall not exceed the amounts actually paid by you to Rendex in the twelve (12) months preceding the event giving rise to the claim.

The foregoing limitations shall not apply to liability arising from Rendex's gross negligence, willful misconduct, or fraud.

13. Indemnification

By Rendex

Rendex shall indemnify, defend, and hold harmless Customer from and against any third-party claim that the Rendex software, as provided by Rendex, infringes any valid patent, copyright, or trademark of a third party.

Output Exclusion

Rendex shall have no indemnification obligation or liability with respect to any claim arising from (a) the content, accuracy, or use of AI-generated output; (b) any modifications to the software made by Customer; or (c) the combination of the software with Customer's data or third-party software.

By You

You shall indemnify, defend, and hold harmless Rendex from and against any third-party claim arising out of your use of the Service, your data, or your violation of these Terms.

14. Term and Termination

These Terms remain in effect for the duration of your subscription. Either party may terminate with 30 days' written notice. Upon termination, your license to use the Service ends. Because the Service runs on your infrastructure, you are responsible for removing the software from your systems. Your data remains on your infrastructure and is unaffected by termination.

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware. Each party consents to the personal jurisdiction of such courts.

16. Export Controls

The Service may be subject to U.S. export control laws and regulations. You may not export, re-export, or transfer the Service to any country, entity, or person prohibited by applicable law.

17. Open-Source Components

The Service incorporates certain open-source software components. A list of open-source components and their respective licenses is available upon request. Your use of these components is subject to the terms of their respective licenses.

18. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect by sending notice to the email address associated with your account. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
